REFERRAL AGREEMENT

Referral Agreement between  <<Company 1>> and <Company 2> on <DATE>

This agreement summarizes discussions and agreements between <<Company 1>>, <Company 2>, to form a referral agreement more effectively pursue marketing and work opportunities together.

The purpose of this agreement is to increase the mind share and revenue base of both companies by leveraging preexisting business relationships. Additionally, <Company 1> and <Company 2> enter into this agreement with well-defined and well-respected reputations in the pole dance industry. Both companies will leverage the other’s reputation through this referral agreement. <Company 1> and <Company 2> agree not to “hide” the other’s involvement on a particular task. The client should and must be made aware of the involvement of both companies when both companies agree to work together.

<Company 1> and <Company 2> both sell pole industry related services and offer complementary skills. <Company 1> offers <type of business offerings> and <Company 2>  offers <type of business offerings>. The companies have agreed on a referral agreement e in which they will seek business opportunities together, work on each other’s projects from customers, and/or refer business to each other. The following operational and financial ground rules will govern joint business opportunities under this alliance:

Marketing for work: <Company 1> and <Company 2> may agree from time to time to cooperatively seek work, either through mailings, joint presentations, or other means, sharing expenses as appropriate (usually splitting the costs). <Company 1> and <Company 2> will meet to plan joint marketing activities and agree on the content and direction of each effort before it is carried out.

Accepting work: <Company 1> and <Company 2>, upon learning of the need or potential need for each other’s services, will inform each other and decide the best follow-up approach for each opportunity: In some cases, <Company 1> will take the lead and follow through on data gathering and assignment; in other instances, <Company 2> will take the lead. Both agree that it is critical for the company performing the work to understand the customer’s needs and schedule before committing to work.

Fee Schedule:  A finder’s fee of <Amount, typically a percentage or a specific fee> will be paid to the party that finds work for the other (<Company 2> to <Company 1>; <Company 1> to <Company 2>; depending on who is prime and who is subcontractor). Non-Compete: <Company 1> agrees not to solicit or accept work for similar type of business offerings from <Company 2> customer contacts made through joint service efforts obtained and contracted by <Company 2> for a period of 36 months. <Company 2> agrees not to solicit or accept work for similar type of business offerings  <Company 1> customer contacts made through joint service efforts obtained and contracted by <Company 1> for a period of 36 months. There will be instances when both companies have the same preexisting customers. In this case, <Company 1> and <Company 2> agree to maintain their existing business relationships with the preexisting customers.

Non-Proselytizing: <Company 1> and <Company 2> mutually agree not to recruit each others’ staff and 1099 contractors for a period of 36 months after termination of this agreement. <Delete if not relevant>

Non-Disclosure: <Company 1> and <Company 2> mutually agree to abide by Agreement to Exchange Information on a Confidential Basis. See separate agreement at this link that should also be signed or added as an attachment to this agreement if relevant.

Describing nature of agreement: This agreement defines the referral agreement between <Company 1> and <Company 2> as ongoing until canceled by either organization. This referral agreement reflects the mutual respect each organization has for the other and their joint interest in seeking and performing work opportunities together for mutual benefit. It does not seek to limit in any way either organization’s individual pursuit of business but rather to encourage new business by presenting a fuller skill set to potential customers.
